These Terms of Use ("Terms") govern your access to and use of the website located at infomatrices.com and all related services, products, and software offered by Infomatrices ("we", "us", or "our"), including Solven and any other tools we make available (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Acceptance of Terms
By clicking "I Agree", creating an account, accessing our website, or otherwise using any part of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
You must be at least 18 years of age to use the Services. By accepting these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract under the laws of India.
If you are using the Services on behalf of a business, organisation, or other legal entity ("Organisation"), you represent and warrant that you have full authority to bind that Organisation to these Terms, and that your acceptance of these Terms constitutes acceptance by the Organisation. In that case, "you" and "your" in these Terms shall refer to both you individually and the Organisation.
These Terms, together with any additional agreements you enter into with Infomatrices (such as a subscription order or Data Processing Addendum), form a legally binding contract between you and Infomatrices. If there is a conflict between these Terms and any additional written agreement, the additional agreement shall prevail to the extent of the conflict.
2. Description of Services
Infomatrices provides business management tools delivered as software-as-a-service ("SaaS"). Our current flagship product is Solven — a shared tables-and-folders workspace designed for small business owners and growing teams to organize their data, collaborate, and make data-driven decisions.
The Services are offered in trial and paid subscription tiers, as described on the applicable pricing pages on our website. Features and capabilities may differ between tiers; please refer to the current pricing page for details.
We are continuously improving our offerings and may, from time to time:
- Add new features, tools, or products to the Services;
- Modify or discontinue existing features with reasonable advance notice to affected users;
- Temporarily suspend access to the Services for maintenance, upgrades, or security purposes; or
- Permanently discontinue a Service or product, in which case we will provide at least 30 days' advance notice to registered users where reasonably practicable.
Infomatrices does not guarantee the availability of any specific feature or the continued existence of any particular product. However, we will use commercially reasonable efforts to provide reliable, high-quality Services.
3. User Accounts
To access most features of the Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information and to update such information as needed to keep it accurate, current, and complete.
You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to take all reasonable precautions to prevent unauthorised access to your account, including using a strong password and not sharing your credentials with any third party.
You must notify us immediately of any actual or suspected unauthorised use of your account or any other breach of security by emailing legal@infomatrices.com. Infomatrices will not be liable for any loss or damage arising from unauthorised access to your account resulting from your failure to safeguard your credentials.
Each individual user or legal entity is permitted to maintain only one active account. Creating duplicate accounts to circumvent service limitations, pricing, or any account restrictions is prohibited. You may not transfer or assign your account to any other person or entity without our prior written consent.
Infomatrices reserves the right, at our sole discretion, to refuse registration, suspend, or terminate any account, including where we believe information provided during registration is inaccurate, or where we suspect misuse of the Services.
4. User Content and Data
"User Content" means any data, information, text, files, or other materials that you upload, submit, or otherwise transmit through the Services. You retain full ownership of all User Content you provide.
By uploading or submitting User Content to the Services, you grant Infomatrices a non-exclusive, worldwide, royalty-free, sublicensable licence to access, use, process, copy, store, display, and transmit your User Content solely to the extent necessary to provide and improve the Services to you. This licence terminates when you delete the content or close your account, subject to any retention obligations under applicable law.
You are solely responsible for the accuracy, legality, integrity, and appropriateness of all User Content you submit. You represent and warrant that:
- You own or have the necessary rights and permissions to upload the User Content and to grant the licence above;
- Your User Content does not violate any applicable law or regulation;
- Your User Content does not infringe any intellectual property rights, privacy rights, or other rights of any third party; and
- Your User Content does not contain malicious code, viruses, or other harmful materials.
Infomatrices does not review, monitor, or validate User Content and is not liable for any errors, omissions, or illegal activity within User Content you post. You acknowledge that Infomatrices acts merely as a conduit for the storage and retrieval of User Content and assumes no editorial control over it.
Our collection, use, and processing of personal data within your User Content is governed by our Privacy Policy and, where applicable, our Data Processing Addendum.
5. Prohibited Conduct
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree that you will not, under any circumstances:
- Violate any applicable local, national, or international law or regulation, including data protection laws;
- Infringe the intellectual property rights, privacy rights, or other legal rights of Infomatrices or any third party;
- Upload, transmit, or distribute any viruses, malware, ransomware, spyware, trojans, worms, or any other malicious or harmful software or code;
- Attempt to gain unauthorised access to any part of the Services, our servers, infrastructure, or any systems or networks connected to the Services through hacking, password mining, or any other means;
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, object code, or underlying algorithms of the Services or any component thereof;
- Resell, sublicense, rent, lease, or otherwise commercially exploit the Services or any part thereof without our prior written consent;
- Use automated bots, scrapers, crawlers, or any automated data collection tools to extract data from the Services beyond what is permitted through officially documented APIs;
- Send spam, unsolicited bulk messages, chain letters, or any other form of unsolicited commercial communications through or in connection with the Services;
- Impersonate any person, entity, or organisation, or falsely represent your identity, affiliation, or authority;
- Use the Services in any manner that could damage, disable, overburden, or impair our infrastructure, or interfere with any other user's ability to use the Services;
- Use the Services, or any data or insights derived from the Services, to develop, test, or train competing products or services, or to otherwise replicate or replace the Services;
- Post, transmit, or distribute any content that is defamatory, obscene, harassing, hateful, threatening, discriminatory, or otherwise objectionable;
- Probe, scan, or test the vulnerability of any of our systems or networks; or
- Circumvent or bypass any technological protection measures, access controls, or security features of the Services.
Violation of any of the above prohibitions may result in immediate suspension or termination of your account and may expose you to civil and criminal liability. Infomatrices reserves the right to investigate and take appropriate legal action against any party who violates this Section.
6. Intellectual Property
The Services, including all software, source code, object code, algorithms, databases, interfaces, designs, graphics, text, images, audio, video, documentation, trademarks, service marks, trade names, and logos (collectively, "Infomatrices Content"), are owned by or licensed to Infomatrices and are protected by applicable intellectual property laws in India and internationally, including copyright, trademark, patent, and trade secret laws.
These Terms do not grant you any ownership interest in the Services or Infomatrices Content. Except as expressly set out in these Terms or in a separate written agreement, no licence, right, or interest in or to any intellectual property of Infomatrices is granted to you, whether by implication, estoppel, or otherwise.
The name "Infomatrices", the "Solven" name and logo, and all related marks, names, and logos are trademarks or registered trademarks of Infomatrices. You may not use any Infomatrices trademark, service mark, or trade name without our prior written permission.
Feedback: If you provide Infomatrices with any feedback, suggestions, ideas, enhancement requests, recommendations, or other information relating to the Services ("Feedback"), you hereby grant Infomatrices a perpetual, irrevocable, worldwide, royalty-free, fully paid-up licence to use, reproduce, modify, adapt, publish, translate, distribute, and otherwise exploit such Feedback for any purpose, without restriction or compensation to you. You waive any moral rights you may have in such Feedback to the extent permitted by applicable law.
7. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, Infomatrices expressly disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- Any warranty that the Services will meet your specific requirements or expectations;
- Any warranty that the Services will be uninterrupted, timely, secure, or error-free;
- Any warranty as to the accuracy, reliability, completeness, or currency of any information, data, or content obtained through the Services; and
- Any warranty that defects in the Services will be corrected.
AI-Generated Content Disclaimer: The Services incorporate artificial intelligence and machine learning technologies. Outputs generated by AI components of the Services (including analyses, recommendations, forecasts, summaries, and other generated content) are provided for informational and general business guidance purposes only. Such outputs may contain errors, inaccuracies, or omissions, and should always be independently reviewed and verified by qualified professionals before being relied upon in any business, financial, legal, medical, or other decision. Infomatrices makes no representation or warranty as to the accuracy, reliability, or suitability of AI-generated outputs for any specific purpose.
Infomatrices is not responsible for any decisions made, or actions taken or not taken, in reliance on the Services or any output generated by the Services. You use the Services and rely on their outputs entirely at your own risk.
Some jurisdictions do not allow the exclusion of implied warranties. To the extent such exclusions are not permitted in your jurisdiction, the above exclusions apply to the maximum extent permitted by applicable law.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Infomatrices, its directors, officers, employees, agents, partners, licensors, or service providers be liable to you or any third party for:
- Any indirect, incidental, special, consequential, punitive, or exemplary damages;
- Loss of profits, revenue, anticipated savings, or business opportunities;
- Loss or corruption of data or information;
- Loss of goodwill or reputation;
- Any business interruption or operational disruption;
- Damages arising from your reliance on any output, recommendation, or analysis generated by the Services;
- Any unauthorised access to or alteration of your data or transmissions; or
- Any other intangible loss,
whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Infomatrices has been advised of the possibility of such damages.
Aggregate Cap: Infomatrices' total aggregate liability to you for any and all claims arising out of or in connection with these Terms or the Services shall not exceed the total fees actually paid by you to Infomatrices in the twelve (12) months immediately preceding the date on which the claim arose, or INR 5,000 (Indian Rupees Five Thousand), whichever is the lower amount.
Exclusions from Cap: Nothing in these Terms shall limit or exclude liability for: (i) death or personal injury caused by Infomatrices' negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited under applicable law.
You acknowledge that the limitations of liability in this Section reflect a reasonable allocation of risk and are a fundamental element of the basis of the bargain between you and Infomatrices.
9. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Infomatrices and its directors, officers, employees, agents, licensors, and service providers (collectively, the "Infomatrices Parties") from and against any and all claims, actions, proceedings, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and court costs) incurred by any Infomatrices Party arising out of or in connection with:
- Your access to or use of the Services, including any use by your authorised users;
- Your breach or alleged breach of any provision of these Terms;
- Your violation of any applicable law or regulation;
- Your violation of any third-party rights, including intellectual property rights, privacy rights, or contractual rights;
- Any User Content or data that you upload, submit, or transmit through the Services; or
- Any dispute between you and any third party.
Infomatrices reserves the right, at your expense, to assume exclusive control of the defence and settlement of any matter subject to indemnification by you. You agree to cooperate fully with Infomatrices in the defence of any such claim. You shall not settle any claim that imposes any obligation or liability on Infomatrices without Infomatrices' prior written consent.
10. Termination
Termination by Infomatrices: We may suspend or terminate your access to all or any part of the Services, with or without notice, immediately and without liability, if:
- You breach any provision of these Terms and fail to remedy the breach within 7 days of notification (where the breach is capable of remedy);
- You breach a provision of these Terms that is not capable of remedy;
- We are required to do so by applicable law or court order; or
- We reasonably believe your use of the Services poses a security risk to us or to other users.
Termination by You: You may cancel your account and terminate these Terms at any time by: (i) using the account cancellation feature within your account settings; or (ii) sending a written request to legal@infomatrices.com. Cancellation will take effect at the end of the current billing period (for paid plans), and no refund will be issued for any unused portion of the subscription period except as required by law.
Effect of Termination: Upon termination of your account, for any reason:
- Your right to access and use the Services immediately ceases;
- Any outstanding amounts owed to Infomatrices become immediately due and payable;
- You should download any User Content you wish to retain prior to account termination, as we may delete your data after termination in accordance with our data retention policy and Privacy Policy.
Survival: The following Sections shall survive any termination or expiration of these Terms: Section 4 (User Content and Data — ownership provisions), Section 6 (Intellectual Property), Section 7 (Disclaimers), Section 8 (Limitation of Liability), Section 9 (Indemnification), Section 11 (Dispute Resolution), and Section 12 (Changes to Terms — for any changes made prior to termination).
11. Dispute Resolution
Governing Law: These Terms and any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.
Informal Resolution: Before initiating any formal dispute resolution proceedings, you agree to first contact Infomatrices at legal@infomatrices.com and attempt to resolve the dispute informally through good-faith negotiation. Both parties shall negotiate in good faith for a period of at least thirty (30) days from the date the aggrieved party notifies the other in writing of the dispute.
Arbitration: If the parties are unable to resolve a dispute through informal negotiation within 30 days, the dispute shall be referred to and finally resolved by binding arbitration conducted in Chennai, Tamil Nadu, India, in accordance with the provisions of the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted before a sole arbitrator mutually agreed upon by the parties, or, failing agreement within 15 days of a request for arbitration, appointed by a court of competent jurisdiction in Chennai. The seat and venue of arbitration shall be Chennai. The language of the arbitration shall be English. The arbitral award shall be final and binding on both parties.
Jurisdiction for Non-Arbitrable Matters: For any disputes, proceedings, or matters that are not subject to arbitration under applicable law (including any application for interim or injunctive relief), you agree to submit to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.
No Class Actions: Any dispute resolution proceedings, whether in arbitration or in court, will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
12. Changes to Terms
Infomatrices reserves the right to modify, update, or revise these Terms at any time. We will notify registered users of any material changes to these Terms by:
- Sending an email to the address associated with your account; and/or
- Displaying a prominent notice within the Services,
at least fourteen (14) days before the revised Terms take effect. For non-material changes (such as typographical corrections, clarifications, or changes required by law), we may update these Terms without advance notice.
Your continued access to or use of the Services after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and cancel your account before the effective date of the changes.
